UAE Commercial Companies Law amendments enhance corporate structuring possibilities.

Amendments to the UAE Commercial Companies Law, introduced under Federal Decree-Law No. 20 of 2025, continue to shape how companies are structured, governed and relocated across the UAE’s jurisdictional system in 2026. The reforms touch on LLC share structures, investor exit rights, capital raising and company re-domiciliation.

Expanded flexibility for LLC structures

A central feature of the amendments is the increased flexibility in structuring limited liability companies. Businesses now have greater freedom to design shareholding arrangements that reflect commercial realities, including more tailored allocation of rights and responsibilities among shareholders. Previously, LLC shareholding structures were relatively uniform. Under the amended law, founders and investors can separate control, economics and exit preferences more cleanly within a single entity, without needing to layer in more complex arrangements. This shift allows companies to adopt structures that better align with investor expectations, joint venture dynamics and long-term growth strategies.

The amendments also introduce non-profit companies as a distinct corporate form. These entities may generate revenue but must reinvest any surplus rather than distribute profits. Implementing regulations on governance requirements, permitted activities and licensing for this form, along with private placement rules, will need to be monitored before making structural decisions that rely on these provisions. As implementing regulations continue to develop in 2026, businesses should monitor these updates before relying on these provisions.

Stronger exit mechanisms and fundraising pathways

Drag-along and tag-along rights can now be embedded directly in the constitutional documents of LLCs and private joint stock companies (PrJSCs), rather than managed solely through separate shareholder agreements. This gives these provisions greater enforceability and makes exit planning more predictable for both majority and minority shareholders.

PrJSCs also gain access to a clearer private placement pathway, allowing them to raise capital through UAE financial markets subject to Securities and Commodities Authority procedures. For some businesses, this may reduce reliance on offshore or financial free zone structuring to access domestic capital, depending on the specific conditions set by implementing regulations.

Re-domiciliation between mainland and free zone jurisdictions

The law creates a statutory framework for transferring a company’s registration while preserving its legal identity, existing contracts and corporate history. Moves can occur across mainland, free zone and financial free zone jurisdictions. This provides businesses with the option to realign their legal and operational base without the need for full liquidation and re-incorporation.

For corporate groups reassessing their UAE footprint, this creates a genuine opportunity to optimise structures for ownership, tax and operational efficiency. However, licensing rules, governance obligations and tax treatment vary meaningfully across regimes. A move that improves one aspect of a structure may create complications elsewhere, and any migration should be carefully assessed before proceeding.

Key business implications

The 2025 reforms continue to provide meaningful new tools for founders, investors and corporate groups in 2026.The practical benefit will go to businesses that take the time to align their existing arrangements with the updated framework.

For businesses already established in the UAE, this means a targeted review of constitutional documents, shareholder agreements, share structures, governance arrangements and succession provisions. For foreign-owned entities in particular, the amendments create an opportunity to optimise structures in ways that may not have been possible before. As the framework continues to take effect in 2026, proactive review will be key to fully realising these benefits.
