DIFC introduces new framework to enhance investment structuring flexibility.

The Dubai International Financial Centre (DIFC) has enacted new Variable Capital Company (VCC) Regulations, introducing a flexible corporate vehicle designed to broaden investment structuring and asset management options for proprietary investors operating within the centre. The regulations came into effect on 9 February 2026.

Overview of the VCC framework

The VCC regime has been designed primarily for proprietary investment activity. Vehicles established under the framework do not require authorisation from the Dubai Financial Services Authority (DFSA), nor the appointment of a regulated fund manager, unless they undertake regulated financial services activities.

This positions the VCC as an alternative to traditional fund structures, offering structural flexibility and reducing regulatory requirements where regulated activities are not conducted.

A VCC may be established as a standalone entity or as an umbrella structure with incorporated or segregated cells. This allows multiple investment strategies or asset pools operate within a single corporate vehicle, while maintaining legal separation of assets and liabilities.

Share capital is linked directly to net asset value (NAV), allowing for the efficient issuance and redemption of shares. Distributions may also be made from capital based on NAV, rather than being limited solely to accounting profits.

Eligibility and application for VCC

Following a public consultation process, eligibility for the VCC regime has been expanded. Any applicant may establish a VCC in DIFC, provided that a Corporate Service Provider is appointed to manage administrative, compliance and regulatory liaison functions with the Registrar of Companies.

Exemptions apply to VCCs controlled by DIFC registered persons, authorised firms, government entities or publicly listed companies, which are not required to appoint a Corporate Service Provider.

Practical considerations

The framework is expected to appeal to family-owned businesses, high-net-worth individuals managing multi-asset holdings, and investors overseeing complex proprietary portfolios, including secondary structures.

The ability to segregate assets through incorporated or segregated cells allows different risk profiles to be maintained within a single vehicle while ring-fencing liabilities. This structure supports both operational efficiency and structural flexibility.
